Optional Placement Success Fee Agreement Template

Written employer agreement template for optional placement success fees linked to approved Daskerel learner introductions.

Template status and parties

This template is for optional placement success fee terms only. It does not apply unless Daskerel and the employer sign or otherwise approve written employer terms, a statement of work, or an order form that expressly includes a placement success fee. For learner consent and tripartite signature capture, use /legal/learner-employer-placement-consent-agreement alongside this fee template.

The Daskerel party is CLOUDFORGE ACADEMY LTD (17286354). The employer party should be identified by legal name, company number or registration number where available, registered address, billing contact, hiring contact, country, and authorised signatory. Partnership and employer-success enquiries should use partnerships@cloudforgeacademy.co.uk.

This template should be reviewed against the final employer, jurisdiction, tax position, data-protection requirements, recruitment rules, and any agency or employment law obligations before use.

Scope of introduction

Daskerel may introduce only learners who have opted in to employer discovery and whose readiness evidence can be shared under the learner's selected visibility and consent settings.

The employer remains responsible for its own recruitment process, role requirements, right-to-work checks, interview decisions, safeguarding, HR checks, employment contracts, contractor terms, background checks, pay decisions, supervision, onboarding, and legal compliance.

Daskerel does not act as the employer, does not guarantee interviews, offers, employment, contractor work, salary, visa sponsorship, retention, performance, or official certification outcomes, and does not replace employer due diligence.

Fee model selection

The written agreement must state one placement fee model: no placement fee, fixed success fee, percentage success fee, hybrid fixed plus percentage success fee, or sponsored cohort only with no placement success fee.

Where a fixed fee is used, the agreement should state the exact amount and currency. Where a percentage fee is used, the agreement should state the percentage, salary or contract-value basis, calculation period, cap if any, and whether tax is included or excluded. Where a hybrid fee is used, both parts must be stated clearly.

Fixed launch options are GBP 2,500, USD 3,250, or EUR 2,900 as a fixed success fee, or 10% of first-year agreed gross salary or contract value as a percentage success fee. A written hybrid fee may combine those fixed and percentage terms only if the signed employer agreement states it clearly.

Success trigger and exclusions

A placement success fee is triggered only if all agreed conditions are met: the learner opted in, Daskerel introduced or materially referred the learner, the employer approved the candidate, the learner accepted an employer-paid role or paid engagement, and the written success trigger date has occurred.

The written agreement should define the success trigger date, such as signed employment contract, start date, contractor start date, first paid invoice, or completion of a probation milestone. It should also define the fee claim window after introduction, for example 6 or 12 months.

No placement success fee should apply to candidates already known to the employer before the Daskerel introduction, candidates submitted by another approved route first, rejected candidates later hired outside the agreed claim window, unpaid volunteering, unpaid training, or roles excluded in the written agreement.

Learner consent and evidence use

Learner contact details, evidence summaries, proof packs, and readiness information may be shared only according to the learner's consent, platform visibility setting, privacy policy, and any agreed data-processing terms.

The employer must use learner evidence only for the agreed recruitment, cohort, or role-readiness purpose and must not redistribute it, publish it, use it for unrelated profiling, or retain it longer than needed for the agreed process unless a lawful basis and notice support that retention.

The learner should not be charged by Daskerel for an employer placement success fee. Any learner-facing fee, repayment, deduction, bond, or clawback must be separately lawful, transparent, and outside this template unless expressly reviewed and agreed.

Launch signing workflow

The launch signing flow should be completed before Daskerel treats any placement success fee as valid: prepare the employer-specific agreement, confirm the employer legal and billing details, confirm the fee model and success trigger, use /legal/optional-placement-success-fee-agreement/sign or an approved external e-signature tool, then retain the completed signed evidence with the employer opportunity record.

The required signers for this fee agreement are the employer authorised signatory and the Daskerel authorised signatory. The learner is not the payer and should not sign this fee agreement as a fee-paying party.

If learner evidence, contact details, or a formal introduction are involved, the learner should separately sign the Learner and Employer Placement Consent Agreement Form through /legal/learner-employer-placement-consent-agreement/sign or an approved external e-signature tool. That consent form should be linked to the employer record and evidence-sharing record before any gated employer evidence view is opened.

Invoicing, Stripe, tax, and payment

The written agreement should state whether payment is collected by Stripe Checkout, invoice, bank transfer, or another approved route. Payment should be requested only after Partnerships approval and the agreed success trigger is satisfied.

The agreement should state payment currency, tax/VAT treatment, billing details, payment due date, purchase order requirements, late-payment handling, refund or replacement terms, and whether any probation, early termination, or failed start affects the fee.

Stripe payment details are handled by Stripe where checkout is used. Daskerel should not collect card details directly through ordinary support, email, or employer-discovery workflows.

Digital signature evidence and retention

The agreement may be signed through the Daskerel in-platform signing page, a recognised electronic signature tool, or a controlled PDF signature process if the retained evidence shows signer name, signer email, organisation, authority or title, timestamp, document version, IP or audit trail where available, and consent to sign electronically.

The signed evidence pack should include the final PDF, signature certificate or audit trail, employer opportunity ID, learner profile ID where relevant, fee model, amount or percentage, currency, success trigger, claim window, payment route, and the Daskerel management user who completed the review.

Management should store the signed agreement with the employer opportunity record, learner consent form if used, signed evidence agreement, invoice or Stripe payment reference, and any dispute, replacement, or refund notes. In-platform signature records are reviewed at /admin/legal-signatures. If a signed employer fee agreement is missing, no placement success fee is due.

Replacement, refund, and disputes

If the employer wants a replacement or refund arrangement, the written agreement must state the exact conditions, time limit, evidence required, and whether the remedy is replacement introduction, partial credit, refund, or no remedy.

Disputes should be escalated first to Partnerships, Billing, Legal/Trust, and the platform owner as appropriate. The employer should provide role records, offer dates, start dates, payment records, rejection history, and any prior-candidate evidence needed to resolve the issue.

A disputed invoice does not permit misuse of learner data, public claims, threats, account sharing, evidence redistribution, or bypassing the agreed escalation route.
